Recent reforms in Italian corporate law have heavily modified the rules applicable to shares. Portolano Colella Cavallo Prosperetti explains the implications for private equity firms.
Now corporations can pick and choose from among a broad range of possible types of shares, with different voting, dividend and veto rights. The new corporate rules will also allow corporations to issue shares without par value.
