General Obligations

By using the AltAssets recruitment system you agree to the terms and conditions below. You warrant that you are authorised to enter into this agreement and agree to abide by the procedures set out below.

You also warrant that any information you provide is true, accurate and complete and your company is appropriately authorised to conduct any financial and/or employment activites that may form part of your business.

By posting positions on the AltAssets service you warrant to accept full responsibility for ensuring your posted details are legal and comply fully with both English law and AltAssets' own terms and conditions as detailed herein. By posting an executive position you warrant to accept these terms and conditions as principal, even if you are acting in the capacity of agent for the actual advertiser.

You further agree to indemnify AltAssets from and against any claim brought by an individual against AltAssets arising from your breach of these obligations or any other breach of these terms and conditions.

The requirements for your vacancy must be in complete accordance with, but not limited to, the UK Sex Discrimination Act 1975 and the Race Relations Act 1976, and you should manage your interview process in accordance with this and all other relevent legislation. Employers outside the UK should also ensure postitions posted adhere to any local laws which may apply to your domestic recruitment process.

If you are a recruitment agency, headhunter or an employment business, it is your sole responsibility in addition to the above, to also ensure your advertisements comply with your full obligations under the Employment Agencies Act 1973 and the Conduct of Employment Agencies and Employment Businesses Regulations Act 1976 as well as all other applicable legal regulations. Recruitment businesses outside the UK should also ensure postitions posted adhere to any local laws which may apply to your domestic recruitment process.

AltAssets reserves the right to reject any job advertisement that it deems is offensive, inappropriate, discriminates, or violates either our internal guidelines and/or English law. AltAssets does not guarantee any response to your executive posting or that responses will be from candidates suitable for the position you advertised. It is your responsibility to carry out the necessary checks and procedures to ensure that candidates are suitable for the job advertised.

You agree not to use the AltAssets web site or any email addresses obtained from the AltAssets web site for sending unsolicited or unauthorised advertising, including "junk mail", "spam" or "chain letters". You agree not use any device, software or routine to interfere or attempt to interfere with the proper working of the AltAssets web site; and will not take any action that imposes an unreasonable or disproportionately large load on its infrastructure.

You agree to never knowingly solicit, collect or store personal information from job applicants under the age of 18. You also agree that all job positions that you advertise on the AltAssets recuitment service relate to real and genuine job opportunities that were available at the time of entering them in our system.

Your job postings will be available on AltAssets for four weeks (28 days) and you should be available to receive responses throughout this period. It is possible that candidates who have recorded your contact information will contact you after this period and it is your responsibility to remove job postings early in the event you fill your vacancy.

Your handling of candiate and other information supplied must comply with the UK Data Protection Act 1998 and all subsequent legislation and regulations. You may not license, swap or sell content submitted by candidates to any other person or allow any use of the beforementioned information other than for the explicit purpose of finding suitable candidates for job vacancies.

To meet our guidelines your advertised post must contain a job title, a description and requirement for the position, the location of the role and details for contacting you for the purposes of applying for the position vacant.

You must never advertise for a preferred sex, race or age of applicant. Information supplied must not infringe on any rights of any third party or be obscene, blasphemous or defamatory.

You also warrant you will deal fairly and in a professional manner with individuals who may respond to executive positions you have posted and not do anything which may bring AltAssets and its good name into disrepute.

Passwords & usernames

Any password issued to you is for your use only. If an additional employee of your company requires access to the AltAssets recruitment system, he or she must obtain an additional password from AltAssets. You agree to not disclose your password to any person, including other employees of your company.

You are responsible for ensuring the security and confidentiality of any passwords given by AltAssets for accessing the AltAssets recruitment system and will not disclose them to any third party. You are fully responsible for any actions taken using such password. You will notify AltAssets immediately if you become aware of any unauthorised use or disclosure of such password.

If AltAssets has any reason to believe that passwords are being shared or used by unauthorised persons then the matter will be reported to the compliance department of the company of the individual to whom the password was originally issued.

At all times the level of access to the AltAssets web site will be at the reasonable discretion of AltAssets.

Job Posting Acceptance

AltAssets reserves the unrestricted right to reject or cancel any job posting at any time even after receipt of proof of copy. AltAssets shall be subject to no liability whatsoever for its rejection or cancellation of any job posting. Please note, AltAssets will not accept job adverts from organisations it regards as competitors to either itself or its parent firm, Almeida Capital.

Unauthorised use of AltAssets’ name

In consideration of the review for acceptance of any positions vacant for posting and publication, the agency and advertiser shall not make any promotional or merchandising references to AltAssets without the prior written permission of AltAssets for each such use.

Third Party Hyperlinks

If your posting contains a hyperlink, URL, or e-mail address to another site, you are responsible for maintaining the links and for the content of your advertisement and the linked site.

Availability of AltAssets service

We use our best efforts to ensure that AltAssets is available to users of the internet. However, at times the site may be partially or completely unavailable due to technical faults, scheduled maintenance or reasons beyond our control such as failures by third party service providers or a risk of virus attack. We will deal with these situations as quickly as reasonably possible, but you agree that we shall have no financial liability to you in the event of service unavailability.

Payment and Ownership of Rights

• Pro-forma Invoice payment
  Clients may choose to pay by pro-forma invoice. Positions will not be available to be posted by the employer until payment has been received and successfully cleared.
  
  
• Credit card payment
  Your job will be available to be posted on the AltAssets service if you have supplied valid credit card information, and there are sufficient funds to allow the transfer.
  You agree not to resell or assign your rights or obligations under these Terms of Use.

Omission of posting

Unintentional or inadvertent failure by AltAssets to post, publish or circulate job advertising invalidates the order for such matter, but shall not constitute a breach of contract. Job advertising postings may be cancelled by AltAssets at any time.

Editing rights

AltAssets may move, change the copy of, position of, or reduce or increase the size of any job posting content on the AltAssets service at any time if necessary or desirable for organisational or presentational reasons. AltAssets will retain sole control over the look and feel of the AltAssets service, including the job posting content provided by the advertiser to the AltAssets service and the display, appearance and placement of the parties' respective names and brands.

Assignment

The advertiser may not assign this agreement, in whole or in part, without AltAssets' written consent. Any attempt to assign this Agreement without such consent will be null and void.

Exclusion and limitation of liability

All job postings are accepted on representation of the advertiser that they are each authorised to publish the entire contents and subject matter thereof and that they have complied with all the laws, governmental rules and regulations applicable to the the placement in and posting of such advertisement on AltAssets. In consideration of the posting of advertisements, the advertiser shall unconditionally indemnify and save AltAssets, its parent, and their directors, agents and employees harmless from and against any and all loss, liability and expense (including legal fees) suffered or incurred by reason of any claims, proceedings or suits, including but not limited to, libel, racism, sexism, ageism, violation of right of privacy or publicity, plagiarism, employment legisaltion, copyright infringement or any other claims or suits based on the contents or subject matter of or otherwise on such job postings.

The advertiser shall provide AltAssets with all assistance requested by AltAssets and otherwise cooperate with AltAssets in connection with the defense of any of the foregoing claims, proceedings, or suits. AltAssets shall have sole authority to (i) choose legal counsel to defend any claim, suit, or proceeding and (ii) control and manage such outside counsel, the litigation and any settlement. Neither the advertiser nor its agency may settle any lawsuit relating to a job posting without the prior written consent of AltAssets.

The liability of AltAssets for any act, error, or omission for which it may be held legally responsible shall not exceed the cost of the job posting that is the basis of AltAssets’ liability.

AltAssets shall not, in any event, be liable for any consequential damages, including lost income or profits. Whether or not AltAssets has been advised of the possibility of such loss, AltAssets shall not be liable in respect of any misrepresentation or be liable in contract, tort or otherwise for any indirect or consequential loss, loss of revenue, loss of profits, loss of business or goodwill, loss of, damage to or corruption of data, or loss of opportunity, howsoever caused, and whether or not arising in the ordinary course of business.

The AltAssets recruitment service is only a conduit, acting as a service for potential employers to advertise job opportunities and AltAssets does not filter or edit job positions offered. AltAssets is not involved in the actual commission between employers, their agents, and/or candidates. As a result, AltAssets has no control over the quality, safety or legality of the resumes received, jobs positions posted, the truth or accuracy of the resumes received, the ability of advertisers to offer job opportunities to candidates, or the ability of candidates to fill these job openings. In addition, note that there are risks including but not limited to fraud, kidnapping, white collar crime and the risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false pretenses. You assume all risks associated with dealing with other individuals with whom you come in contact through the AltAssets recruitment service.

Nothing in this Agreement shall exclude or limit any other liability which it is prohibited from excluding by English law.

Termination

AltAssets may terminate this Agreement at any time without notice. AltAssets reserves the right, in its discretion, to suspend, change, modify, add or remove portions of AltAssets content available on the site at any time and to restrict the use and accessibility of the site.

Entire agreement

These terms and conditions are the complete and exclusive agreement between the parties with respect to the subject matter hereof, superseding and replacing any and all prior agreements, communications, and understandings (both written and oral) regarding such subject matter. The terms and conditions of this Agreement will prevail over any contrary or inconsistent terms in any other form. This Agreement may only be modified, or any rights under it waived, by a written document executed and signed by AltAssets.

These terms and conditions are governed by the laws of England and Wales.
