An overview of the deal structures that are most frequently used by the venture capital community from Simmons & Simmons, together with an insight into the way deals should be negotiated. A good introduction for investors to how VCs should structure and negotiate their deals.
Most investments in entrepreneurial companies are structured in a similar manner. The four key considerations of a VC investor are: maximising financial returns; protection against loss; participation in management; and exit rights. These objectives determine how an investment is structured and will affect how an investor negotiates a deal. These two presentations together give an idea of how a VC investor can use negotiation theory to secure a successful deal and meet these key objectives.
