US media buy-out specialist Veronis Suhler Stevenson has sold its b-to-b media business Hanley Wood to an investment group led by JPMorgan Partners. The investment group also includes Wasserstein & Co. and current and former Hanley Wood management. Terms of the deal make it the second largest b-to-b media acquisition in US history, according to Hanley Wood. Washington-based Hanley Wood has five operating divisions: Hanley Wood Magazines, Hanley Wood Exhibitions, Hanley Wood Market Intelligence, Hanley Wood e-Media and Hanley Wood Marketing.
Hanley Wood founder Michael Wood steps down as CEO but remains a board member. Frank Anton, formerly president, becomes Hanley Wood's new CEO and remains a board member.
VSS is a private equity and mezzanine capital fund management company dedicated to investing in the media, communications and information industries in North America and Europe. The firm provides capital for buy-outs, recapitalisations, growth financings and strategic acquisitions to companies and management teams with a goal to build companies both organically and through a focused add-on acquisition programme.
JPMP is a private equity division of J.P. Morgan Chase & Co.. The firm focuses on investments in middle-market buy-outs, growth equity and venture in the United States and Europe.
Wasserstein & Co. focuses primarily on leveraged buy-out investments, venture capital investments and related investment activities.
