MBF Healthcare Acquisition Corp., a publicly traded special purpose acquisition vehicle managed by private equity firm MBF Healthcare Partners has agreed to acquire Conshohoken, Pennsylvania-based home infusion therapy company Critical Homecare Solutions Holdings, from Kohlberg & Company, for $420m. MBF Healthcare Acquisition intends to fund the deal and provide additional capital to CHS for growth and expansion through a combination of approximately $180m of cash in its trust account, approximately $180m of debt provided by Jefferies Finance, a $35m equity issuance of MBF Healthcare Acquisition common stock to Kohlberg & Co., other stockholders of CHS and certain senior members of CHS management, and a commitment from MBF Healthcare Partners to acquire up to an additional $50m in shares of MBF Healthcare Acquisition common stock.

CHS was established in 2006 through the acquisition and merger of Specialty Pharma and New England Home Therapies.
