Bain Capital walks away from $2.2bn 3Com deal

Bain Capital Partners has terminated the merger agreement with Massachusetts-headquartered 3Com Corporation. Bain Capital said in a statement that it did not go ahead with the transaction 'because the US government's Committee on Foreign Investment in the United States (CFIUS) said it intended to take action to prohibit that transaction.'

Last year Bain Capital agreed to acquire the provider of enterprise and small-business networking solutions for approximately $2.2bn. As part of the transaction, affiliates of telecommunications company Huawei Technologies would have acquired a minority interest in 3Com.

'Bain Capital made several alternative proposals to 3Com that we believe could have satisfied the concerns raised by CFIUS,' the firm stated. 'We regret that we were unable to agree upon an alternative transaction.'

Headquartered in Boston, Bain Capital also has offices in Hong Kong, Shanghai, Tokyo, New York, London and Munich.
