NDS Group, majority-owned by News Corporation, has confirmed that it has received a proposal from Permira and News Corporation. The privatisation deal would be worth about $3.6bn.
The board of NDS Group has appointed a committee of NDS Group directors who are not directors or executive officers of News Corporation in relation to the proposed $60 per share transaction.
Completion of the deal would lead to Permira owning 51 per cent of NDS and News Corporation owning 49 per cent.
NDS Group supplies digital technology and services to digital pay-television platform operators and content providers.
Permira advises funds with a total committed capital of approximately €22bn.
